The course consists of online classes (and some classes in hybrid format), readings on selected topics, negotiation exercises, active debates, individual and group work.
The instructor's role is to guide and facilitate discussions, presenting and explaining the course content in a dynamic way.
Students should be prepared to debate and answer questions. The course will be participatory, and students are expected to play an active role by asking questions and participating in constructive discussions.
Students are expected to read the assigned material before class. Case studies, current events, and relevant issues related to mergers and acquisitions, foreign investment, and international business transactions will be discussed and analyzed.
In addition to learning fundamental legal principles, students will acquire the skills necessary to effectively use their legal knowledge in service to clients, including communicating with them, designing a strategy to meet their needs, writing reports, and negotiating with third parties.
Students who complete this course will be able to: Understand the skills and tools necessary to be an effective and successful legal advisor in a modern corporation operating in a global context and in a digital age; Gain an overview of the demands that corporations, the law, and the legal sector place on legal advisors; Acquire the ability to identify, understand, and address the issues that arise in a legal department regarding mergers, acquisitions, and foreign investments; Develop the ability to think critically as an effective legal advisor to international companies and understand corporations in an international context; Understand how to enhance their skills as a legal advisor with an international focus; Have the opportunity to examine issues of compliance, governance, and corporate ethics; Develop knowledge and skills to be innovative and add value in a non-standard and non-traditional legal service delivery model; Understand the structures of international mergers and acquisitions transactions; Study other forms of international investment and business transactions; Understand certain issues that arise when doing business with foreign entities and governments; Analyze certain issues related to corporate social responsibility, fairness, diversity, and anti-corruption measures in international business transactions. Learn about choosing the applicable law and resolving disputes in mergers and acquisitions and other international business transactions. Interpret international merger and acquisition contracts; draft international commercial contracts, letters of intent, and corporate agreements; consider sociopolitical factors in merger and acquisition transactions; identify and explain the main legal frameworks underpinning corporate and commercial transactions; describe and explain different types of corporate transactions, including stock purchases and asset acquisitions; explain the role and responsibilities of lawyers involved in corporate transactions; design an effective strategy to meet client needs; design a due diligence plan; draft client-focused communications in clear and persuasive language; and negotiate effectively with other stakeholders in acquisitions, mergers, or foreign investments.
Six classes of three hours each (i.e., a total of 18 hours of classes) starting on Thursday, October 9, 2025 (first class), Wednesday, October 15 (second class) and Thursdays, October 23 and 30 (third and fourth classes, respectively) and November 6 and 13 (fifth and sixth classes, respectively) from 16 to 19 p.m. Argentina time via online.
The class on 10/15 will be held in a hybrid format, taking place at the Cerrito headquarters.
