Providing legal counsel to technology companies at various stages of development represents an undeniable opportunity for lawyers who are prepared for it. In 2021 alone, Argentine technology startups received over $2.000 billion in venture capital investment.
These types of companies have a special characteristic for the world of law: from the conception of a novel idea, and throughout their entire development cycle, they all need constant legal advice.
Most will issue stock options, will be required to protect intellectual property inventions, have regional ambitions, and will seek third-party investment. All of them, without exception, are launching with a project that they intend to successfully complete due diligence in the near future.
The Law and Startups program seeks to train lawyers to be able to capture the opportunities presented by a market that grows exponentially even in years of economic crisis.

• Regarding the case study:
(i) will consider inviting entrepreneurs, investment funds, and other lawyers.
(ii) Students will be asked to separate into groups and divide into groups that represent angel investors, investment funds, and startups.
(iii) a common thread will be established where investment documents are negotiated, shares are calculated, and due diligence is carried out.
The program has a pragmatic vision that accompanies the entrepreneur throughout the entire life cycle of the company:
(i) the protection of intellectual property, for the protection of the novel idea that the entrepreneur will develop;
(ii) for talent acquisition, the particularities of labor law regarding stock options;
(iii) tax law considerations for structuring companies for the regionalization of the business and fundraising; and
(iv) Commercial and corporate law, with special focus on the commercial documents necessary for the different stages of financing and investment with accelerators and venture capital funds.
At the end of the program, the students:
(a) They will learn in depth about the different stages of evolution of a technological undertaking;
(b) They will learn about the different actors in the entrepreneurial world: accelerators, angel investors, and investment funds, and the legal implications required to negotiate with each of them;
(c) They will be able to identify the key legal aspects necessary to advise their clients throughout their entrepreneurial journey, with a special focus on protecting their ideas, tax contingencies, and key labor aspects for obtaining and retaining talent; and
(c) will acquire practical skills on the documents and resources that exist to approve a Stock Option Plan, negotiate investment instruments (convertible notes, SAFEs, and shareholder agreements).
